Course Description
The course is based on earlier acquired knowledge and competencies concerning company law, and introduces differences and similarities between various company law systems. It discusses corporate governance solutions developed by different jurisdictions and legal traditions, and explain instances of divergence or convergence of the legal rules that can be observed. The course identifies general trends and trajectories in development of corporate governance by examining advanced cases on a comparative and interdisciplinary basis.
Intended Learning Outcomes
CILO-1: Students will be able to demonstrate the requisite steps in the establishment of a private and a public company.
CILO-2: Students will be able to identify the merits of different solutions to corporate governance problems using comparative legal method.
CILO-3: Students will be able to explain how international instruments for harmonization of the company law have been transposed into the national legislation.
CILO-4: Students will be able to discuss contemporary legal discourse on company law and corporate governance.
